SOFTWARE LICENSE AGREEMENT - MediaEditor.eu

This Software License Agreement ("Agreement") is entered into between:

Licensor: Marcin Dębicki, conducting business in Kraków, Poland, hereinafter referred to as the “Licensor”;
Licensee: Any individual or legal entity who downloads, installs, uses, or otherwise accesses the Software, hereinafter referred to as the “Licensee”.

1. Subject of the Agreement

1.1. This Agreement governs the Licensee’s use of the MediaEditor.eu software ("Software").

1.2. The Software is protected by copyright and other intellectual property laws.

2. Grant of License

2.1. The Licensor grants the Licensee a non-exclusive, non-transferable, limited license to install and use the Software on devices owned by the Licensee, strictly in accordance with this Agreement.

2.2. The license does not include the right to:

• sublicense,
• modify,
• decompile,
• reverse-engineer,
• create derivative works,
• distribute or share the Software.

2.3. The Licensee agrees not to circumvent or disable any technical protections embedded in the Software.

3. Licensee Obligations

3.1. The Licensee agrees to:

• use the Software in compliance with applicable laws,
• not remove or alter any copyright or ownership notices,
• not share, copy, or redistribute the Software to third parties.

3.2. The Licensor reserves the right to audit the Licensee’s use of the Software for compliance purposes, upon prior written notice and only with respect to commercial entities.

4. License Restrictions

4.1. All rights not expressly granted to the Licensee are reserved by the Licensor.

4.2. Any breach of this Agreement results in immediate termination of the license without notice.

5. Subscription, Activation, and Payments

5.1. The Software is provided under a subscription-based model. Access to full functionality requires an active paid subscription.

5.2. Activation of the Software requires registration and logging in to the Microsoft Store using your Microsoft account.

5.3. The subscription period and applicable fees are defined on the Licensor’s website.

5.4. Failure to renew or complete payment will result in automatic suspension or termination of the license.

5.5. Subscription renewals are subject to the terms in effect at the time of renewal.

6. Updates and Technical Support

6.1. The Licensor may, at its sole discretion, provide updates, upgrades, or modifications to the Software.

6.2. Installation of updates or new versions may be subject to additional or modified license terms.

6.3. Free technical support is not guaranteed unless explicitly provided by the Licensor.

6.4. Bugs or development suggestions should be reported to: mentatd@gmail.com.

7. Payment Processing

7.1. All matters related to payment calculation, collection, and processing are handled by Microsoft, acting as an independent payment processor.

7.2. Microsoft is not a party to this Agreement and acts solely as a billing and payment intermediary.

7.3. The Licensee agrees to provide the necessary data for payment processing in accordance with Microsoft’s privacy policy.

7.4. Any payment-related complaints or refund requests shall be directed to Microsoft, following its customer service procedures.

7.5. In the event of a payment reversal, refund, or chargeback initiated by the Licensee, the Licensor reserves the right to immediately revoke the license and disable access to the Software without prior notice.

8. Limitation of Liability and Warranty Disclaimer

8.1. The Software is provided "as is", without any express or implied warranties, including but not limited to warranties of merchantability or fitness for a particular purpose.

8.2. The Licensor does not guarantee uninterrupted or error-free operation of the Software, nor compatibility with specific hardware or software environments.

8.3. To the maximum extent permitted by law, the Licensor shall not be liable for:

• data loss,
• indirect or consequential damages,
• service interruptions,
• loss of business or profits.

8.4. In any case, the Licensor’s total liability shall not exceed the total subscription fees paid by the Licensee for the most recent completed billing period.

8.5. The Licensee agrees to cease using the Software immediately upon submitting any claim, regardless of its validity.

9. Term and Termination

9.1. This Agreement becomes effective upon installation of the Software and remains in force for as long as the Licensee maintains an active subscription.

9.2. The Licensee may terminate the Agreement at any time by deleting all copies of the Software and cancelling the subscription.

9.3. The Licensor may terminate this Agreement immediately if the Licensee breaches any of its terms.

9.4. Upon termination, the Licensee must permanently delete all copies of the Software and cease all use.

10. Governing Law and Jurisdiction

10.1. This Agreement shall be governed by and construed in accordance with the laws of the Republic of Poland.

10.2. Any disputes shall be resolved by a court having jurisdiction over the Licensor’s registered office.

10.3. If any provision of this Agreement is found invalid, the remaining provisions shall remain in full force and effect.

10.4. In case of discrepancies between language versions, the Polish version shall prevail.

10.5. This Agreement constitutes the entire understanding between the parties and supersedes all prior communications.
